Item 1.01 Entry into a Material Definitive Agreement.

 

Summit Wireless Technologies, Inc., a Delaware corporation (the “Company”), entered into a securities purchase agreement, dated as of July 22, 2021 (the “Purchase Agreement”), with several accredited investors (the “Investors”) providing for the issuance of 2,500,000 shares of the Company’s common stock, par value $0.0001 (the “Shares”), at a public offering price of $4.00 per Share. Pursuant to the Purchase Agreement, the Investors are purchasing the Shares for an aggregate purchase price of $10,000,000.

 

Pursuant to the Purchase Agreement, an aggregate of 2,500,000 Shares will be issued to the Investors in a registered direct offering (the “Offering”) and registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to a prospectus supplement to the Company’s currently effective registration statement on Form S-3 (File No. 333-233433), which was initially filed with the U.S. Securities and Exchange Commission (the “SEC”) on August 23, 2019, and was declared effective on September 6, 2019 (the “Shelf Registration Statement”). The Company expects to file the prospectus supplement for the Offering on or about July 26, 2021.

  

The Offering was conducted pursuant to placement agency agreement, dated as of July 22, 2021 (the “Placement Agency Agreement”), between the Company and Maxim Group LLC (the “Placement Agent”). The Placement Agent has agreed to use its “reasonable best efforts” to solicit offers to purchase the Shares. The Placement Agent has no obligation to purchase any of the Shares or to arrange for the purchase or sale of any specific number or dollar amount of Shares. The Company has agreed to pay the Placement Agent a fee equal to 8% of the aggregate purchase price paid by Investors placed by the Placement Agent and certain expenses.

 

The Company expects the Offering to close on or about July 27, 2021, subject to the satisfaction of customary closing conditions in the Purchase Agreement. The Purchase Agreement contains customary representations, warranties and agreements of the Company and the Investors and customary indemnification rights and obligations of the parties thereto.

 

The foregoing description of the Placement Agency Agreement and the Purchase Agreement are qualified in their entirety by reference to the full text of such Placement Agency Agreement, attached as Exhibit 10.1 to this Current Report on Form 8-K (this “Form 8-K”), and Purchase Agreement, the form of which is attached as Exhibit 10.2 to this Form 8-K, and which are incorporated herein in their entirety by reference. The Company is filing the opinion of its counsel, Sullivan & Worcester LLP, relating to the legality of the issuance and sale of the Shares as Exhibit 5.1 hereto. Exhibit 5.1 is incorporated herein by reference and into the Shelf Registration Statement.

On July 23, 2021, the Company issued a press release announcing the pricing of the Offering. A copy of the press release is filed as Exhibit 99.1 to this Form 8-K and is incorporated in this Item 8.01 by reference.
